SECTION 172(1) STATEMENT, FOR THE YEAR ENDED 31 DECEMBER 2023

The following statement was included by the Directors in their Strategic Report for the year ended 31 December 2023:

Section 172(1) statement

We recognise our duty under section 172 of the Companies Act 2006 to act in the way we consider would be most likely to promote the success of the Company for the benefit of its members as a whole, and in so doing, to have regard to various matters laid out in section 172. In our actions and decision-making, we have had regard to these matters as follows:

• We have pursued the goals of consistent profitability and stability for the future, so as to secure the long-term success of the Company for the benefit of all its stakeholders.
• We have held regular management meetings to keep informed about all aspects of the business so as to guide their decision-making.
• We have held regular review forums to share information with, and receive feedback from, our employees.
• We have promoted close and constructive relationships with customers and suppliers.
• We have sought to meet and exceed all regulatory requirements, and to avoid any negative impact on our neighbours and the local environment.

We were supported in our efforts by the strong initiatives and policies of the Recticel Group in the areas of sustainability, employee well-being & engagement, business conduct, and regulatory compliance.
